Margin Guard Terms of Service
1. Agreement to Terms
By activating an account, signing in, or otherwise using Margin Guard, your organization agrees to these Terms and acknowledges the Privacy Policy. If you do not agree, do not use the service. First customers may also confirm acceptance in writing as part of manual onboarding.
2. Margin Guard service description
Margin Guard is a web application for contractors and similar businesses to estimate jobs, manage quotes and invoices, track project operations, and view owner-facing business health information. Features available to you depend on your active subscription term and the configuration of your tenant account.
3. Annual subscription — USD $2,000
The current Margin Guard commercial subscription is an annual plan of USD $2,000 per year, unless we agree with you in a separate writing to a different amount or term.
4. Manual billing via QuickBooks or Square
SaaS subscription invoices for first customers are issued and collected manually through QuickBooks or Square. We will tell you which method applies to your account. You are responsible for paying the invoice using the instructions we provide.
5. Access begins after confirmed payment
Margin Guard access is activated only after we confirm that your annual payment has been received and your tenant account has been set to an active plan. Signing in before activation does not create a paid subscription.
6. Renewal
When an annual term ends, continued access requires a new paid annual term unless we have another written arrangement with you. We do not currently charge an automatic SaaS renewal.
7. No automatic Stripe SaaS subscription billing
Margin Guard SaaS subscription payments are not processed by Stripe. There is no automatic Stripe SaaS subscription charge, Stripe Checkout SaaS billing, or Stripe-managed renewal for the Margin Guard annual plan at this stage.
8. Authorized business use
You may use Margin Guard only for lawful business purposes of your organization. You may permit employees, sellers, and supervisors you authorize. You may not resell the service or share login access with unauthorized parties.
9. Account security
You are responsible for keeping owner, seller, and supervisor credentials and devices confidential, for using strong passwords, and for promptly telling us if you believe an account or device was compromised. We are not responsible for losses caused by unauthorized access resulting from your failure to protect credentials or devices.
10. Tenant and user responsibilities
You are responsible for the accuracy of information you enter (including estimates, invoices, customer data, and settings), for decisions you make using the software, and for complying with laws that apply to your contracting business. You must not attempt to access another tenant’s data or interfere with the service.
11. Financial monitoring disclosure
Margin Guard may optionally use Stripe Financial Connections so an owner can link a business bank account for read-only balance monitoring. Current Financial Connections permissions used by Margin Guard are balances only.
Margin Guard does not receive your bank username or password. Margin Guard does not receive or expose full routing or account numbers through this path. Linked-bank data is used to display balances, runway, reserves, business health metrics, and owner-facing financial guidance.
12. No money custody and no money movement by Margin Guard
Margin Guard is not a bank, credit union, money transmitter, payment processor for your SaaS fee (except that you may pay us through QuickBooks or Square as invoiced), or custodian of customer funds. The Financial Connections path cannot be used by Margin Guard to debit a bank account, initiate ACH, transfer funds, create payouts, withdraw money, or otherwise move tenant money.
13. Third-party services
Margin Guard uses independent providers to operate the product, including:
- Stripe Financial Connections, for optional read-only bank balance monitoring;
- Supabase, for hosted database and authentication infrastructure;
- Netlify, for website and serverless function hosting;
- OpenAI, where Support or similar assistance features are enabled for your account.
Those providers have their own terms and privacy practices. We are not responsible for outages or acts of third parties outside our reasonable control.
14. AI and Support limitations
Where AI-assisted Support or similar features are available, they may generate incomplete or incorrect answers. They are operational help for using Margin Guard, not accounting, tax, legal, investment, insurance, or engineering advice. You remain responsible for verifying information before you rely on it. Do not submit information to Support that you are not authorized to share.
15. Customer data ownership
You retain ownership of the business content you submit (such as projects, quotes, invoices, contacts, and settings). We process that content to provide the service. We do not claim ownership of your customer job data.
16. Acceptable use
You may not use Margin Guard to break the law, send malware, probe or attack the system, scrape other tenants’ data, impersonate others, or overload the service. We may suspend access for misuse.
17. Availability and maintenance
We aim to keep Margin Guard available but do not promise uninterrupted service. Maintenance, hosting incidents, or third-party failures may cause downtime. The service is commercial software, not a public utility with uptime commitments in these Terms.
18. Suspension
We may suspend or limit access for security incidents, nonpayment, suspected misuse, or to protect other customers. We will try to notify the owner email on file when practical.
19. Cancellation and expiration
You may stop using Margin Guard at the end of a paid term by not renewing. We may end a term for material breach or nonpayment. When a term expires or is canceled, access may be disabled. See the Privacy Policy for how to request deletion of account data.
20. Refunds
The annual Margin Guard subscription is billed in advance. After we confirm payment and activate your tenant, the fee for that paid term is non-refundable, including if you stop using the service before the term ends, except where applicable law requires otherwise. If we cannot activate your account after a confirmed payment, we will refund that payment. Chargebacks, Square or QuickBooks disputes, and partial-period unused time are not refunds unless required by law.
21. Data retention and deletion requests
We retain account and operational data while your tenant is active and as reasonably needed for security, billing records, and legal obligations. To request correction or deletion of your organization’s Margin Guard data, email the contact address below from the owner email on the account. We will review requests in a commercially reasonable time. We may retain limited records as required by law or for dispute resolution.
22. Intellectual property
Margin Guard software, design, documentation, and trademarks remain the property of Three Colors Corp and its licensors. You receive a limited, non-exclusive, non-transferable right to use the service during an active paid term.
23. Warranty disclaimer
MARGIN GUARD IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. We do not warrant that estimates, invoices, financial metrics, or AI output will be error-free or suitable for any particular job.
24. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THREE COLORS CORP AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE MARGIN GUARD SUBSCRIPTION IN THE TWELVE MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limits; in those places, our liability is limited to the fullest extent allowed.
25. Indemnification
You will defend and indemnify Three Colors Corp against claims arising from your content, your use of Margin Guard, your customer jobs, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.
26. Changes to the service or Terms
We may update the product and these Terms. Material changes will be posted on this page with a revised effective date. Continued use after the effective date constitutes acceptance of the updated Terms, except where applicable law requires additional notice.
27. Governing law
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. Courts located in California will have exclusive jurisdiction, except that we may seek injunctive relief in any court for misuse of the service or intellectual property.
